EULA - End User License Agreement

END-USER LICENSE AGREEMENT

Quantity: Quantity Agreed Upon Per Invoice or Comparable Document Evidencing Authorized Quantity ("Authorized Copies")

PLEASE READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you ("Licensee")
and nextEDGE Technology, Inc. and its affiliates ("nextEDGE") for software product provided to Licensee by nextEDGE,
which includes computer software and may include associated media, printed materials and "online" or electronic documentation ("Product").
LICENSEE AGREES TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE PRODUCT. IF LICENSEE DOES NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT; LICENSEE MAY RETURN THE PRODUCT TO THE PLACE OF PURCHASE FOR A FULL REFUND.

1. Use.
Licensee shall have the limited right to use the Product solely for Licensee's own internal business needs. Licensee does not have the right to distribute, sublicense, assign or transfer the license or the Product except as expressly provided in this EULA. Any attempts to otherwise distribute, sublicense, assign, or transfer any of the rights, duties, or obligations hereunder is null and void.

2. TRANSFER.
Distribution. Licensee may not move any Installed Copy to a different computer whether or not owned or controlled by Licensee or further distribute any Installed Copy to another third party user. Licensee agrees to use Licensee's best efforts to prevent any unauthorized distribution of the Product and Installed Copies.

3. No Rental.
Licensee may not rent, lease or lend the Product or use the Product for commercial timesharing or bureau use.

4. LIMITATION ON REVERSE ENGINEERING.
Licensee may not reverse engineer, decompile, or disassemble the Product, except and only to the extent that is permitted by applicable law notwithstanding this limitation.

5. COPYRIGHT.
All intellectual property rights in the Product and user documentation are owned by nextEDGE Technology, Inc. and nextEDGE's suppliers and are protected by United States copyright laws, other applicable copyright laws and international treaty provisions. Licensee shall not remove any product identification, copyright notices or proprietary restrictions from the Product. nextEDGE and its suppliers retain all rights not expressly granted herein.
